Sourcing alternative-asset opportunities for strategic players, family offices, institutional investors, or a chance to grow your own business.

M&A · Distressed Assets · Private Equity

Three mature disciplines. The originality is in combining them.

  1. Distressed Assets

    Way in

We buy below intrinsic value because of a solvable difficulty: financial, operational, land-related or situational.

    Lever: entry discount

  2. M&A

    Transactional execution

The craft of buying and of exiting: valuation, negotiation, structure, financing and multiple arbitrage.

    Lever: structure and arbitrage

  3. Private Equity

    Holding and realization

Own, improve and monetize over time, and design the vehicle through which the family office participates and exits.

    Lever: improvement, multiple and vehicle

Value isn't discovered, it's created.

Instead of competing for bargains the market already knows how to price, we take assets it cannot price and build the value on top of them with a Concept.

Difficulty is a source of price

A distressed asset is not a bad asset: it is a good asset with a solvable problem attached. The difficulty scares buyers off and brings the price down.

The Concept.

The transformation idea applied to a distressed asset to unlock value that is latent and invisible to the market. It is the spark that turns a problem into an investable opportunity, and it is at once the value lever and the sales argument.

Families of Concept

  • Change of use or vocation
  • Repositioning
  • Consolidation (buy-and-build)
  • Break-up (carve-out)
  • Clean-up and restructuring
  • Regulatory or legal enablement
  • Change of buyer universe

Three areas, one value cycle.

  1. See

    We spot the hidden value

A mispriced asset, a unit performing below its potential, a regulatory window opening. The eye first; the capital after.

Proprietary flow of mispriced distressed assets (the red river) through a network of creditors, receivers, law firms and brokers.

  2. Add value

We apply the concept that unlocks it

We structure, integrate and operate with the depth of an industrial operator; we move your business up toward recurring revenue, with local institutional capital that already knows the asset.

Buy on the right terms (M&A) and apply the Concept that unlocks the value: permitting, clean-up, repositioning, consolidation.

  3. Take to market

We structure the vehicle and execute

The right vehicle, the right buyer, the right moment. Growth isn't being worth more on paper: it's realizing that value.

Package the opportunity into an investable vehicle and place it with the right family offices, with aligned incentives.

Disciplined, with decision gates.

The discipline of the process keeps creativity from turning into uncontrolled risk.

  1. Origination

Is there a real price-to-value gap?

  2. Thesis and Concept

Does a Concept unlock value at a reasonable cost?

  3. Due diligence

Is the problem what we think it is, and is it solvable?

  4. Purchase structure

Do the terms preserve the margin?

  5. Acquisition

    Closing the purchase.

  6. Executing the Concept

    Is the transformation on plan?

  7. Structuring and raising

Is the thesis investable and aligned?

  8. Management and value

Are the value milestones being met?

  9. Exit and distribution

The right moment and the right buyer?

Archetypes

The distressed company.

Archetype A

Situation
A mid-size company with a good product and brand, but over-leveraged after a failed expansion. Creditors want out; the market avoids it because of the balance sheet.
Concept
The operating business is healthy; the problem is the capital structure. Balance-sheet clean-up, a change of management and consolidation of smaller competitors.
Execution
Purchase of the operating asset free of debt (or restructuring with a haircut), a new management team and a growth plan. From “restructuring” to “platform.”
Go to market
A private equity vehicle: a platform bought below replacement value, cleaned up and consolidating, with a three-to-five-year exit to a strategic buyer or a fund.

The distressed land.

Archetype B · SandSnow Capital division

Situation
A large idle site on the outskirts, industrial zoning with little demand, a family needing liquidity after an inheritance. The market prices it low.
Concept
Urban growth and logistics demand make a change of use viable: the value is not in the land as it stands, but rezoned and permitted.
Execution
Purchase at a discount with structured payment, the change-of-use filing and permits, and development of the master plan. From “idle land” to “permitted project.”
Go to market
A co-investment vehicle for family offices with real estate appetite: discounted entry, value from the permitting, exit through the sale of the project.

Abundant capital, scarce opportunities.

  • 42% of family office portfolios allocated to alternative assets, globally
  • 54% the allocation to alternatives among U.S. family offices

The bottleneck is not capital. Appetite for alternatives is structural, and most offices are planning their largest rebalance toward private markets in years. What is scarce is the flow of differentiated, well-structured opportunities.

Red River Kapital originates, transforms and structures those opportunities: it delivers to the family office what it cannot manufacture on its own.

What the family office gets.

  • Uncorrelated return

The return comes from transforming a specific asset, not from the public market cycle: real diversification.

  • Two layers of return

The entry discount from the difficulty, plus the value created by the Concept: two sources of margin in one deal.

  • Transparency and control

Deal-by-deal or club structures: the investor sees the asset, the thesis and the exit plan. No black box.

Alignment by design.

The firm captures its main gain after the investor has earned their minimum return.

Hurdle + promote
  1. Preferred return for the investor.
  2. Red River shares in the value above the hurdle.
Origination and structuring
Find, buy and assemble the deal.
Management fee
Managing the asset and the vehicle during the holding period.
Promote / carried interest
A share of the value created above the hurdle. The main component.
Development margin
The gap between a discounted entry and a transformed exit.
Co-investment
Our own capital in every deal: conviction and alignment.

What makes us hard to replicate.

  • Ability to solve

The team and the network that actually solve the problem turn the discount into margin.

  • Trust with family offices

Clean distributions and transparent communication sustain growth.
